Board Director Role
The Advisory Board plays a pivotal role in guiding the company’s strategic direction, providing high-level oversight and counsel to ensure adherence to ethical standards, legal compliance, and organizational excellence. Board members serve as critical advisors to management, helping to drive innovation, mitigate risks, and promote sustainable growth.

Board Composition and Committees
We are seeking to appoint five (5) new Advisory Board Members, including a Board Chair and members with expertise aligned to the following specialized committees:
- Finance and Remuneration Committee
- Legal, Risk, and Compliance Committee
Key Responsibilities
- Provide strategic oversight and governance in alignment with Transnep’s mission and growth strategy.
- Support sound financial management and risk oversight practices.
- Participate actively in quarterly Board meetings and key organizational events.
- Advise on strategic priorities, policy direction, and risk mitigation.
- Engage with external stakeholders, including regulators, clients, and industry bodies.
- Serve as an ambassador of Transnep’s values and advocate for the brand.
- Uphold principles of transparency, ethical leadership, and good corporate governance.
Time Commitment
- Initial term of two (2 years, renewable for one additional term.
- Attend a minimum of four (4) meetings annually (virtual or in-person).
- Participate in committee activities and ad hoc consultations, as required.
- Remain available for strategic advisory support as needed.
Ideal Candidate Profile
We are seeking individuals with the following qualifications and experience:
- A minimum of 15 years of professional experience in insurance, finance, legal, or related sectors.
- A Bachelor’s degree or higher in business, finance, law, risk management, or a related discipline.
- Proven leadership experience, preferably in executive or board roles.
- Strong industry networks and the ability to influence across the financial services landscape.
- Demonstrated strategic thinking and advisory capability.
- Commitment to ethical governance, innovation, and stakeholder value creation.
Specific Committee Expertise:
- Finance and Remuneration Committee: Experience in financial management, executive compensation, and corporate finance in a regulated environment.
- Legal, Risk, and Compliance Committee: In-depth knowledge of insurance law, regulatory compliance, risk frameworks, and governance.
- Board Chair Role: A seasoned leader with exceptional facilitation, communication, and board governance experience.
- Previous board experience is desirable but not mandatory.
