    Legal & Compliance Counsel MERA

    • In this position, the Legal & Compliance Counsel MERA will directly report to the General Counsel of the BG Distribution & Usages AMEA, he/she will also have a functional report to the Corporate Compliance Officer. He/She will contribute to sustainability of Nexans BUs in MERA area by providing legal guidance and assistance to operational teams in their business decision making process with the objective of achieving their business objectives safely or at least with full knowledge of the context and potential risks. Ensure compliance all relevant laws and regulations for business operations at the country level included but not limited to ethics rules.

    Responsibilities And Tasks:

    Contract Management

    In close cooperation with the General Counsel of the BG Distribution & Usages AMEA :

    • Ensures all contracts are in compliance with Nexans policies/general management procedures;
    • Accompany and participates in the business making decision;
    • Exchanges continuously with business people regarding foreseeable contract execution risks and contributes to problems solving;
    • Manages external laws firms so that they will be providing high quality and cost efficient legal service;
    • Participates in the contract education of sales managers/contract managers in particular regarding contract risks;
    • Participates in design of local standard conditions (in line with Nexans GMP’s), if necessary, and local model agreements, if necessary, aimed at limiting risk-taking within Nexans, and ensures compliance therewith.

    Compliance Management

    In close cooperation with the Group Compliance Officer, :

    • Drives corporate governance of local entities through:
    • The implementation & deployment (e.g. training, processes implementation, compliance matters awareness) of policies and procedures as defined by the Group (Code of Ethics, GMP’s, third-party management tools); and,
    • When applicable, contribution in the design and/or the implementation of local policies reflecting GMP’s and Group policies.
    • Participates to the draft of the business risk assessment;
    • Advises the business on compliance matters;
    • Raises awareness and upgrade compliance skills of the business through communication and regular trainings in accordance with the Group Compliance Program;
    • Delivers face-to-face compliance trainings;
    • Participates to animate a network of compliance correspondents;
    • Supervises and/or participates to local investigations; and
    • Provides regular reporting to Group Compliance team on the Program monitoring.

    Company Law Matters

    • In close cooperation with the General Counsel of the BG Distribution & Usages AMEA :
    • Supports entities in MERA area in preparation of Board and shareholders meetings, drafting of resolutions, holding of corporate books, ...

    Litigation

    • Conduct litigation (define and /or propose strategy, facilitate briefs and documentation preparation);
    • Defines the strategy (inter alia via a risk analysis), together with General Counsel of the BG and the relevant General Manager, for managing threatening and/or actual claims;
    • Conducts the litigation processes and manages the external law firms;
    • Performs reporting to the relevant stakeholders (country / BU / BG managers, Nexans HQ Legal Department …)

    Diffusion of legal culture; legal and regulatory watch

    • Develops management teams awareness on legal matters

    Interface with external law firms or providers

    • Determines, in cooperation with BG General Counsel, when the use of external law firms or external providers are required;
    • Manages external law firms or providers;
    • Active interface between external law firms and BG General Counsel.

    What We Are Looking For:

    • Degree in Law: Bachelor or above from a law school with good academic credentials. From an accredited overseas law school would be a plus.
    • Language skill : fluent in English.
    • At least 6 years in Multinational Corporation and/or international law firm. An experience abroad is appreciated. An experience in a corporation or law firm having developed and implemented compliance programs is a plus. [NOTE : we favour the experience in industrial Multinational Corporation].
    • Field of specialty : generalist with competence in commercial law (contract and litigation).
    • Experience in compliance matters (including implementation of compliance programs in a decentralized model). Strong knowledge of trade sanctions regulation is a must, competition law knowledge is a plus.
    • Well versed in legal terminology and skilled in writing.
    • Good communication in written and verbal English.
    • Professional and Reliable.
    • Quick learner & Team worker with strong sense of responsibility.
    • Able to work independently with analytical skills.
