    Deputy Company Secretary

    Job Summary:

    This role will serve in a deputy capacity to the Company Secretary and provide governance, advisory, secretarial, and administrative support to the MTN Board and Management team of MTN Ghana and its subsidiaries.

    Key Tasks:

    • Assist the Company Secretary in coordinating activities regarding the annual Board plan and with the administration of other strategic issues at the Board level.
    • Support Board processes to facilitate efficiency and effectiveness including Board succession, induction and Director Development, Board performance evaluation, Governance Assessment and Reporting etc.
    • Manage and support seamless shareholder relations and interactions between board members, shareholders and other stakeholders as assigned by Company Secretary
    • Advising on compliance with all mandates, delegations, and authorities from the Board in line with statutory, corporate governance and Company policies.
    • Support the company secretary in managing shareholder engagements and complaints per regulatory requirements.
    • Under the direction of the Company Secretary, facilitate good information flow within the Board, its Committees and Management.
    • Provide support services to directors on the discharge of their duties.
    • Ensure compliance with corporate legislation and the Company’s constitution as well as rendering statutory returns, maintaining registers and other records.
    • Safe custody of the company’s statutory documents, including for example, the certificate of incorporation and constitution
    • Provide support in all matters concerned relating to the statutory Share Register and conducting appropriate activities connected thereto as provided under the provisions of the Companies Law.
    • With the guidance of the Ethics Officer provide support in advising the Board on ethics and conflict of interest
    • Provide support on Environment, Social & Governance (ESG) and Investor relations reporting.
    • Prepare and review documents and reports pursuant to the function of the Company Secretariat as advised by the Company Secretary
    • Address any other related duties as assigned by line manager.

    Education:

    • A Degree in Law with qualifying certificate in law (i.e., Bar exams)
    • Full ICSA Qualification is an added advantage.

    Experience:

    • 8 years post qualification Commercial/Corporate Law experience in a large local law firm or the legal department/ Company secretarial role of a listed company or multinational is an advantage.
    • Minimum of 5 years’ experience and exposure to company Secretarial management in a Telecommunication & ICT, Banking, Finance, or emerging markets experience
    • Regulated company experience is an advantage.
